Terms of Service

1. Overview

These Terms of Service set out the conditions under which GoDigitize, a trading name of Alex Kühne & Company Ltd (“we”, “us”, “our”) provides website design and related digital services to clients (“you”, “your”).

By engaging our services, approving a proposal, or paying an invoice, you confirm that you have read, understood, and agree to these Terms of Service.

2. Our Services

We provide website design, website setup, content support, basic SEO, hosting coordination, and related digital services.

All work is carried out to the scope agreed in writing before any project begins. Any work not explicitly included in the agreed scope is considered out of scope and may be subject to additional fees.

We use Squarespace and Wix as our primary website platforms, depending on project requirements. Hosting, payments, and platform functionality are provided via Squarespace, Wix, or their integrated third-party providers. All platform services are subject to the relevant provider’s own terms, policies, and service availability.

3. Project Process

Before work begins, we will confirm in writing:

  • the agreed scope of work

  • estimated timelines

  • the total cost or agreed pricing package

  • what we require from you (e.g. branding, imagery, written content)

Work cannot begin until the required deposit (typically 50% of overall Package cost) has been received and essential content or assets have been provided.

4. Payment

Payment terms will be stated in your invoice or written agreement.

  • A deposit may be required before work begins

  • Final payment is due once the build is completed and prior to website launch

  • Ongoing services (e.g. hosting or support) are billed monthly unless stated or agreed otherwise

Late or non-payment may result in work being paused, delayed, or withheld until payment is received.

5. Your Responsibilities

You are responsible for:

  • Providing accurate, complete, and lawful content (text, images, products, data, etc.)

  • Ensuring you own or have permission to use all supplied materials

  • Reviewing work and providing feedback in a timely manner

You retain full responsibility for the legality, accuracy, and compliance of any content published on your website.

Delays caused by missing information, late approvals, or changes in direction may extend project timelines.

6. Website Ownership & Intellectual Property

Once full payment has been received:

  • You own the final website content and design we have created for you

  • We retain the right to reference the project in our portfolio and marketing unless otherwise agreed in writing

Squarespace and Wix retain ownership of their respective platforms, hosting infrastructure, themes, templates, and technical systems. Your ongoing licence to use the platform is governed by the relevant provider’s own terms.

Ownership of the website does not transfer until full payment has been received.

7. Revisions & Changes

Each project includes a reasonable number of revisions as defined in your agreed package.

Revisions do not include changes that:

  • materially alter the agreed scope

  • introduce new features or pages

  • require substantial rework of approved designs or content

Out-of-scope changes will be quoted and agreed before work is carried out.

8. Timelines

Any timelines provided are estimates only.

Timelines may be extended due to:

  • late provision of content or assets

  • delayed feedback or approvals

  • changes to scope or requirements

  • late or missed payments

We will communicate clearly if timelines change.

9. SEO & Performance

We provide baseline SEO setup as part of the website build where included in your package.

We do not guarantee specific search engine rankings, traffic levels, conversions, or business outcomes. Website performance is influenced by many external factors beyond our control.

10. Third-Party Services

Your website may rely on third-party services such as Squarespace, Wix, plugins, analytics tools, payment processors, or integrations.

We are not responsible for downtime, errors, outages, or policy changes caused by third-party providers.

11. Data Protection & Privacy

Any personal data we process is handled in accordance with our Privacy Policy.

Website data is hosted by Squarespace or Wix and subject to their security and privacy standards. You are responsible for ensuring your website complies with applicable data protection laws, including GDPR.

12. Confidentiality

Any non-public information shared during a project will be treated as confidential and not disclosed to third parties, except where required to deliver the agreed services or where required by law.

13. Disclaimer

All services are provided using reasonable skill and care. However, we cannot guarantee:

  • uninterrupted or error-free website operation

  • compatibility with all devices, browsers, or future updates

  • protection against all security threats

14. Limitation of Liability

To the fullest extent permitted by law, we are not liable for:

  • loss of profits, revenue, or business

  • data loss or corruption

  • indirect, incidental, or consequential losses

Our total liability for any claim relating to our services will not exceed the total fees paid for the relevant project.

15. Cancellations, Pauses & Termination

Either party may cancel a project by providing written notice.

  • Deposits are non-refundable once work has begun

  • Work completed up to the cancellation date remains payable

  • We reserve the right to pause or terminate a project due to non-payment or prolonged inactivity

16. Governing Law

These Terms of Service are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.

17. Amendments

We may update these Terms of Service from time to time. The latest version will always be available on our website and will apply to new engagements.
